Q: When did Kingtone become public?
A:

Kingtone started to trade publicly on the NASDAQ Stock Exchange on May14, 2010.

Q: What is Kingtone’s stock symbol?
A:

Kingtone’s ticker symbol is KONE and the stock trades on the NASDAQ Stock Exchange.

Q: When did the company begin operations?
A:

We are a holding company and have been conducting our operations through a contractually-controlled entity in the PRC named Xi’an Kingtone Information Technology Co. Ltd. which started operations in 2001.

Q: When does the company’s fiscal year end?
A:

Our fiscal year end is September 30th. On March 23, 2010, the board approved a resolution to change the fisical year end of the Company and its wholly owned subsidiaries Topsky Info-Tech Holdings Pte Ltd. And Softech from November 30 to September 30 so they have the same fisical year end as Kingtone Information, the Company’s controlled operating subsidiary, or VIE.

Our board of directors consists of three independent directors and two dependent directors. They are Mr. Tao Li, Dr. Lili Dong, Ms. Melody Shi, Mr. James Fong and Ms. Li Wu.

Q: How many employees does the company have?
A:

As of May 31, 2010, we had approximately 180 employees, which included 72 in R&D, 47 in engineering, 30 in sales, 23 in administration and 8 in procedures & quality control.

Q: Who is the company’s independent auditor?
A:

Our auditor is one of the largest middle market, PCAOB-reviewed auditors in China. It has recently merged with a top ranked accounting firm, Marcum’s China practice to create Marcum Bernstein and Pinchuk LLP, effective January 1, 2011. The combined firm is the only PCAOB-reviewed firm with significant, on-the-ground resources in China outside of the “Big Four” accounting firms.  It has more than 75 highly qualified, US GAAP and SEC trained professionals in China. The firm has offices in Beijing, Guangzhou, Hangzhou and Hong Kong, with coordinated services throughout the world.

Q: Who is the company’s legal counsel?
A:

Kingtone's legal counsel is Pryor Cashman LLP, a New York-based law firm specialized in litigation, corporate, real estate, entertainment, IP, bankruptcy, employment, tax, estate, immigration, family law and China matters. It is also a member of the International Alliance of Law Firms, a network of select, business-oriented, full-service law firms. It currently works with the 53 member firms in 38 countries throughout North and South America, Europe, Asia and Africa.
